The pattern: exposure without trading

Across every SEC filing by a family member, the count of open-market purchases and sales is zero. What exists instead is board compensation — grants reported at $0.00 because the recipient pays nothing — and beneficial-ownership stakes recorded when someone crosses 5% of a company.

That distinction matters. A headline reading “Trump family trades” would describe something the filings do not show. Directors receiving stock for board service, and founders holding a controlling position, are not traders.

Beneficial ownership above 5%

A Schedule 13D signals an active or control stake; a 13G a passive one. Amendments track how a stake moved over time.

Do not add these percentages together. SEC rules make each member of a reporting group state the group’s aggregate stake, so one position can appear on two people’s filings. Eric Trump and Donald Trump Jr. each filed on Dominari Holdings the same day at an identical 5.23% — that is one 5.23% stake reported twice, not 10.46% between them.

“Value at grant” is our calculation, not a disclosed figure. We multiply the share count by that security’s closing price on the grant date. A check on the method: the awkward share counts resolve to round dollar targets — 11,433 shares at $13.12 is exactly $150,000 — because the grants were denominated in dollars and converted to shares at the grant-date price. It ignores vesting and transfer restrictions.
